Terms of Use

Trust Effort Corporation (hereinafter referred to as "Trust Effort") grants you (whether a corporation or an individual) the right to use the software "Graphfy" (hereinafter referred to as the "Software") provided under this License Agreement (hereinafter referred to as the "Agreement") in accordance with the following terms. The right to install, copy, reproduce, and use the Software is hereby granted in accordance with the following terms and conditions. By installing, copying, or using the Software, you agree to all of the terms of this Agreement. If you do not agree to the terms of this agreement, do not install, copy, or use the software. If we provide the Software via a network or other means, you must also agree to the terms of this Agreement when you download the Software. If you do not agree to the terms of this agreement, please stop downloading.

  1. Copyright

    1. All intellectual property rights, including but not limited to copyrights in the Software are owned by Trust Effort and the Software is protected by the Copyright Law of Japan and other applicable laws and regulations in connection therewith. You must treat the Software in the same manner as any other copyrighted work.
    2. The copyrights to the documents and other related materials provided with this software (hereinafter referred to as "Related Materials") and the sample code belong to Trust Effort, and these Related Materials are protected by the Japanese Copyright Law and other applicable laws and regulations.

  2. Grant of Rights

    1. You hereby acquire a non-exclusive right to use the Software in accordance with the terms of this Agreement.
    2. You may make copies of the Related Materials for your personal use only. You may not republish or redistribute them outside your organization, whether in hard copy or electronic form.
    3. You may modify and use the sample code solely for the purpose of designing, developing, and testing your software product. You may also copy and redistribute the sample code or modified versions thereof (object code, source code, or both).
  3. Restrictions

    1. You may not reverse engineer, decompile, or disassemble the Software.
    2. You may not use, reproduce or modify the Software, in whole or in part, except as expressly permitted in this Agreement.
    3. You may not remove any copyright or other proprietary notices from the Software or related materials. When you reproduce the Software in accordance with 3.ii above, you shall also reproduce the copyright notice and other rights notices attached to the Software.
    4. You may not license, lend, or lease the Software to any third party.
    5. We make no warranty of any kind with respect to the Software, including but not limited to defects in the Software.
    6. We shall not be liable for any damage to hardware equipment or data that may occur as a result of the use of this Software.
    7. We shall not be liable for any copyright or other intellectual property disputes or disputes based on the Product Liability Law with any third party regarding this software.
    8. In addition to the above, we shall not be liable for any loss or damage to you or your customers in connection with the use of this software.
    9. If we correct errors (bugs) in the Software, we will provide you with the corrected Software, software for correction (hereinafter referred to as "Corrected Software"), or information regarding such correction. However, the necessity, timing, and method of providing the Corrected Software or information regarding such Corrected Software or information regarding such Corrected Software will be determined entirely at our discretion. The modified software provided to you shall be deemed to be the Software.
  4. Limitation of Liability

    1. We shall not be liable for any damages incurred by you as a result of your use of the Software. However, this limitation shall not apply when there is a reason attributable to Trust Effort.
    2. Even if we are liable for damages under 4.i above or under laws and regulations, we shall not be liable for damages that exceed the damages that are considered to arise from default or tort (so-called ordinary damages) under normal social conventions.
  5. Term of the Agreement

    1. This Agreement shall become effective upon installation or use of the Software and shall remain in effect until terminated in accordance with 6. below.
  6. Termination of Agreement

    1. We may terminate this Agreement at any time if we determine that the continued provision or operation of the Software and its services is impaired.
    2. We may terminate this Agreement immediately without any notice or notification communicated to you if you breach any provision of this Agreement.
    3. In the case of 6.ii above, we may claim against you for any damages incurred by you.
    4. You may terminate this Agreement by deleting the Software in the case of free Software, or by terminating your own billing in the case of paid Software.
    5. Upon termination of this Agreement, the Customer shall immediately destroy the Software and all copies thereof and related materials.
  7. Others

    1. Reproduction or compilation of copyrighted works using the Software is permitted under copyright law only for personal or home use. If a user reproduces, edits, or uses a reproduced or edited work beyond the scope of the copyright law, despite the fact that he or she owns the copyright to the reproduced work or has received permission from the copyright holder, the user infringes the copyright and may be subject to a claim for damages from the copyright holder. Such use is strictly prohibited.
    2. When using photographic image data in this software, you must strictly refrain from using such data in a manner that constitutes copyright infringement as described above.
    3. You shall not export the Software or copies thereof outside of Japan by any means or for any purpose.
    4. The formation, validity, performance, and interpretation of this Agreement shall be governed by the laws of Japan, and any dispute arising from this Agreement shall be subject to the jurisdiction of the courts of Japan.
